PLEASE READ THESE TERMS OF USE (“TERMS”) CAREFULLY BEFORE USING THE SERVICES OFFERED BY NODAL (“NODAL,” “WE,” “US,” OR “OUR”).

These Terms govern your access to and use of:

  • the Nodal website located at Nodal.cx and any related domains or subdomains (the “Site”);

  • any content, materials, resources, frameworks, downloads, templates, workflows, assessments, calculators, or digital tools made available through the Site; and

  • any other products, features, applications, or services we may offer from time to time in connection with the Site

(collectively, the “Services”).

By accessing or using the Site or Services in any manner, including browsing, scheduling meetings, submitting information, downloading materials, or using digital tools, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Use of the Services

You may use the Services solely for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Services in any way that violates applicable law or regulation;

  • Attempt to gain unauthorized access to any part of the Services, servers, systems, or networks;

  • Copy, reproduce, distribute, modify, or exploit Service content without our prior written permission;

  • Use automated tools (including bots, scrapers, or crawlers) to access or collect data from the Services without authorization;

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or underlying logic from any digital tools or workflows made available by Nodal;

  • Interfere with the proper functioning or security of the Services.

We reserve the right to suspend or terminate access to the Services for any violation of these Terms.

2. Informational Purposes Only

The content and Services are provided for general informational and educational purposes only.

Nothing on the Site or within the Services constitutes legal, tax, accounting, investment, financial, employment, recruiting, or other regulated professional advice.

Any business, strategic, operational, technical, or AI-related guidance provided by Nodal should not be relied upon as a substitute for professional advice tailored to your specific circumstances.

3. No Client Relationship

Your use of the Services, including scheduling a meeting, submitting information, or communicating with Nodal, does not create a client, fiduciary, advisory, or professional relationship.

A formal client relationship exists only after both parties execute a separate written agreement.

4. User Submissions

The Services may allow you to submit information, including business, operational, strategic, or proprietary information, in connection with scheduling meetings, inquiries, or prospective engagements.

Unless and until a separate written confidentiality agreement or client agreement is executed:

  • Any information submitted through the Services will not be treated as confidential;

  • Nodal has no obligation to maintain the confidentiality of such submissions;

  • You should not submit sensitive, regulated, or highly confidential information through the Services.

You represent and warrant that:

  • You have the right to submit any information you provide;

  • Your submissions do not violate the rights of any third party.

5. Intellectual Property

All content and materials made available through the Services, including but not limited to text, graphics, branding, logos, designs, frameworks, methodologies, playbooks, prompts, workflows, case studies, software logic, digital tools, and other materials, are owned by or licensed to Nodal and protected by intellectual property laws.

Your use of the Services does not grant you any ownership rights.

You may not copy, adapt, reproduce, distribute, republish, sell, sublicense, or create derivative works from Service materials without our prior written consent.

For clarity, Nodal retains all rights, title, and interest in:

  • Proprietary methodologies;

  • Consulting frameworks;

  • AI workflows and automation architectures;

  • Prompt libraries;

  • Strategic models;

  • Assessments and diagnostic tools;

  • Derivative intellectual property developed in connection with our Services.

6. AI-Assisted Content and Services

Nodal may use artificial intelligence tools in connection with content creation, research, workflows, analysis, automation, and service delivery.

While we apply human judgment and oversight where appropriate, AI-assisted outputs may contain inaccuracies, omissions, biases, or outdated information.

You acknowledge that:

  • AI-generated or AI-assisted materials may not always be complete, accurate, or error-free;

  • Such materials should be independently reviewed before being relied upon for business decisions.

Nodal makes no warranty regarding the reliability of AI-assisted outputs.

7. Testimonials and Case Studies

The Services may include testimonials, case studies, client logos, or references to current or former clients.

These are provided for illustrative purposes only.

Past performance, experiences, or outcomes do not guarantee similar results.

Client names and logos remain the property of their respective owners and do not imply endorsement unless expressly stated.

8. Third-Party Links and Tools

The Services may contain links to or integrations with third-party websites, software, APIs, or tools.

We do not control and are not responsible for the content, security, privacy practices, or availability of third-party resources.

Your use of third-party services is at your own risk and subject to their own terms.

9. Additional Product-Specific Terms

Certain Services, including digital tools, downloadable workflows, templates, software, assessments, or other resources, may be subject to additional terms, license restrictions, or usage conditions.

Where applicable, those additional terms will be presented alongside the relevant Service and incorporated by reference into these Terms.

In the event of any conflict between these Terms and product-specific terms, the product-specific terms will control solely with respect to that Service.

10. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, Nodal disclaims all warranties, including:

  • Merchantability;

  • Fitness for a particular purpose;

  • Non-infringement;

  • Accuracy, completeness, reliability, or usefulness.

We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, Nodal shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to:

  • Your access to or use of the Services;

  • Reliance on any content or outputs;

  • Errors, omissions, or inaccuracies;

  • AI-generated outputs;

  • Third-party tools, links, or integrations.

Nodal’s aggregate liability for any claim relating to the Services shall not exceed one hundred U.S. dollars ($100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Nodal and its officers, employees, contractors, affiliates, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Services;

  • Your violation of these Terms;

  • Your submitted information or content;

  • Your violation of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in New York County, New York.

You consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time.

When we do, we will revise the Effective Date above.

Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms.
